Bylaws of the Leisure Lane Community Association
Article I: Name, Purpose, and Definitions
Section 1.1 – Name
The name of the association shall be the Leisure Lane Community Association (LLCA).
Section 1.2 – Purpose
The purpose of LLCA is to manage and maintain the common areas, promote the safety, welfare, and community spirit of its residents, and preserve and enhance the value of the properties within the Leisure Lane community. LLCA aims to:
– Maintain and improve common areas and amenities.
– Enforce rules and regulations that promote a harmonious living environment.
– Manage the collection of dues, fees, and assessments to fund community operations.
– Represent the interests of the community with external parties, including local government.
Section 1.3 – Definitions
– Association: Refers to the Leisure Lane Community Association.
– Board: Refers to the Board of Directors elected to govern the Association.
– Member: A property owner within the Leisure Lane community.
– Common Areas: All areas and amenities maintained by the Association for the benefit of all residents.
– Lot: A parcel of land, with or without a structure, located within the Leisure Lane community.

Article II: Membership
Section 2.1 – Membership Eligibility
Every owner of a lot or home within the Leisure Lane community shall automatically become a member of LLCA upon purchasing the property. Membership is tied to property ownership and is non-transferable except through the sale of the property.
Section 2.2 – Rights and Responsibilities
Members have the right to:
– Vote on Association matters, including Board elections and amendments to these bylaws.
– Participate in LLCA-sponsored events and use common areas.
– Attend all open Board and committee meetings.
Members are responsible for:
– Complying with the Association’s rules and regulations.
– Paying dues, fees, and special assessments in a timely manner.
– Maintaining their property in accordance with community standards.

Article III: Board of Directors
Section 3.1 – Number and Composition
The Board of Directors shall consist of seven (7) members, each of whom must be a property owner in the Leisure Lane community and in good standing with the Association.
Section 3.2 – Powers and Duties
The Board of Directors shall:
– Manage the day-to-day affairs of the Association.
– Enforce community rules and regulations.
– Approve the annual budget and manage the finances of the Association.
– Represent the Association in dealings with local authorities and third parties.
– Establish committees as necessary for the functioning of the Association.
– Resolve disputes and violations of community standards.
Section 3.3 – Election and Term of Office
Board members shall be elected by a majority vote of the members at the annual meeting. Each director shall serve for a term of two (2) years, with staggered terms so that no more than four (4) members are elected in a single election cycle.
Section 3.4 – Removal and Vacancies
A Board member may be removed by a two-thirds (2/3) vote of the membership for failure to perform their duties or for conduct detrimental to the Association. In the event of a vacancy, the Board may appoint a member to serve the remainder of the term.

Article IV: Meetings
Section 4.1 – Annual Meetings
An annual meeting of the members shall be held each year to:
– Elect members to the Board of Directors.
– Review the financial state of the Association.
– Discuss community concerns and future plans.
– Vote on matters submitted to the membership.
Section 4.2 – Special Meetings
Special meetings may be called by the President of the Board or by a petition signed by at least ten percent (10%) of the members. Notice of such meetings shall be provided at least ten (10) days in advance.
Section 4.3 – Board Meetings
The Board of Directors shall hold regular meetings at least once per quarter. The schedule of Board meetings shall be made available to the membership, and members may attend all open Board meetings.
Section 4.4 – Quorum
A quorum for any membership meeting shall consist of twenty percent (20%) of the total membership, either in person or by proxy. For Board meetings, a majority of the Board members shall constitute a quorum.

Article V: Committees
Section 5.1 – Establishment of Committees
The Board may establish standing or ad hoc committees to carry out specific functions of the Association. Examples of committees include, but are not limited to:
– Architectural Review Committee (ARC): Reviews and approves property modifications to ensure compliance with community standards.
– Finance Committee: Assists in preparing the budget and monitoring the Association’s financial health.
– Social and Events Committee: Organizes community events and social gatherings.
Section 5.2 – Committee Composition
Each committee shall consist of at least three (3) members appointed by the Board. The Board shall designate a committee chairperson, who will report to the Board regularly on committee activities.

Article VI: Dues, Fees, and Assessments
Section 6.1 – Annual Dues
The Board of Directors shall set the amount of annual dues, which all members must pay to support the operational and maintenance costs of the Association. Dues shall be due on the first day of each fiscal year.
Section 6.2 – Special Assessments
The Board may levy special assessments for unforeseen expenses or major projects with the approval of a majority of the membership. Members will be given notice and a reasonable timeframe to pay special assessments.
Section 6.3 – Delinquent Payments
Any member who fails to pay dues or assessments within thirty (30) days of the due date shall be considered delinquent. The Board may impose late fees, interest, or legal action, including placing a lien on the property, for delinquent accounts.

Article VII: Architectural Standards
Section 7.1 – Architectural Review Committee (ARC)
All exterior modifications to properties within the Leisure Lane community must be approved by the ARC to ensure compliance with the architectural standards established by the Association.
Section 7.2 – Submission of Plans
Property owners must submit detailed plans for any modifications, including landscaping, structural changes, or exterior painting, to the ARC for approval. The ARC shall review and respond to submissions within thirty (30) days of receiving a complete application.

Article VIII: Enforcement and Violations
Section 8.1 – Violations
Any violation of these bylaws, community rules, or architectural standards shall be subject to enforcement action by the Board. Enforcement actions may include:
– Written warnings
– Fines for non-compliance
– Legal action, including seeking injunctive relief or fines through the court system
Section 8.2 – Dispute Resolution
The Board encourages members to resolve disputes amicably. If necessary, the Board may facilitate mediation between parties or refer disputes to a third-party mediator or arbitrator.

Article IX: Amendments
Section 9.1 – Amendments to Bylaws
These bylaws may be amended by a majority vote of the membership at any annual or special meeting, provided that the proposed amendment has been distributed to the membership at least thirty (30) days prior to the meeting.

Article X: Dissolution
Section 10.1 – Dissolution
In the event that LLCA is dissolved, its assets shall be distributed according to applicable state laws, and any remaining funds shall be used to pay off any debts or obligations. Any remaining assets shall be distributed among the members in proportion to their membership interests.
